These Terms of Use ("Terms") govern your access to and use of the website, mobile application, and related services through Bridge Capital (collectively, the "Platform") provided by Zavo Nexus Private Limited ("Zavo"), a company incorporated under the laws of India, having its registered office at 5th Floor, Wing-A, Statesman House, Barakhamba Rd, Barakhamba, New Delhi, Delhi 110001.

1. Acceptance of Terms

By accessing, registering on, or using the Platform, you agree to be bound by these Terms. Your continued use of the Platform shall constitute your ongoing acceptance of these Terms, as may be amended from time to time.

2. Nature of the Platform and Services

Bridge Capital is a technology-driven platform that enables users to discover, compare, and connect with third-party products and services. It operates solely as a facilitator and intermediary, providing access to offerings by independent service providers including financial institutions, banks, NBFCs, insurers, fintech entities, and other regulated or unregulated entities (collectively, "Service Providers").

Bridge Capital does not provide any financial products or services on its own account and does not act as a lender, insurer, or financial advisor. Any information, content, comparisons, or tools on the Platform are for general informational purposes only and do not constitute financial, investment, tax, legal, or other professional advice. You should obtain independent professional advice before making any financial decisions.

3. User Eligibility and Obligations

By using the Platform, you represent that you are legally competent to enter into binding agreements under applicable law. You agree to provide accurate, complete, and up-to-date information at all times. Any incorrect or misleading information may result in rejection of your application or suspension of your access. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

4. No Guarantee or Representation

Bridge Capital does not guarantee the approval, rejection, or processing of any application submitted through the Platform. All decisions relating to eligibility, sanction, pricing, tenure, and terms of financial products are determined solely by the relevant Service Providers. Bridge Capital shall not be responsible for inaccuracies, omissions, or changes in information received from third parties.

6. Data Usage and Privacy

Bridge Capital collects and processes your personal data (including identification, contact, device, financial, and credit information) only for limited purposes: operating the Platform, facilitating applications with Regulated Entities, supporting fraud prevention, KYC, and credit assessment, and meeting legal or regulatory requirements. This is done on the basis of your free, specific, and informed consent or other lawful grounds under the Digital Personal Data Protection Act, 2023. Full details of data categories, purposes, sharing, retention, your rights (including withdrawal of consent, correction, erasure, and grievance redressal), and our security measures are set out in our Privacy Policy.

7. Authorisation for Credit and Financial Information Checks

By submitting an application through the Platform, you authorise the concerned Regulated Entity and, where applicable, Bridge Capital acting on its instructions, to obtain your credit information from Credit Information Companies and/or access your financial information through an RBI-licensed Account Aggregator or directly from banks and financial institutions, strictly for the purposes of creditworthiness assessment, application processing, and facility servicing, in accordance with applicable laws and the RBI and CICRA regulations.

8. Third-Party Services and Relationships

All financial products and services available through the Platform are offered by independent third-party Service Providers. Bridge Capital does not control or influence the terms, decisions, or performance of such providers and shall not be liable for any acts, omissions, or deficiencies on their part. Any contractual relationship shall be solely between you and the respective Service Provider; Bridge Capital shall not be a party to such arrangements.

9. Fees and Commercial Arrangements

Bridge Capital may receive commissions, referral fees, or other consideration from Service Providers in connection with successful facilitation of services. Any interest, fees, charges, penal charges, or other amounts payable in relation to a financial product shall be determined and levied solely by the concerned Regulated Entity in accordance with applicable RBI guidelines, including the RBI circular on "Fair Lending Practice – Penal Charges in Loan Accounts" dated August 18, 2023 (as amended). Penal charges, if any, shall be disclosed transparently in the KFS, sanction letter, and loan agreement, and shall not be capitalised or treated as penal interest added to the rate of interest.

10. Key Fact Statement (KFS)

For any digital loan or credit facility facilitated through the Platform, the concerned Regulated Entity shall provide you with a Key Fact Statement ("KFS") in the standardised format prescribed by the Reserve Bank of India, containing key information including the all-inclusive Annual Percentage Rate ("APR"), total payable amount, instalment schedule, fees and charges (including third-party charges), penal charges, cooling-off period, and grievance redress and recovery mechanism details, prior to execution of the loan agreement. Any deviation from the terms in the KFS shall require your explicit consent in accordance with applicable RBI directions.

11. Cooling-Off / Exit Right

Where required under applicable RBI guidelines on digital lending, borrowers shall be provided a cooling-off or look-up period as specified in the KFS, during which they may exit the digital loan by paying the principal and proportionate APR, without any prepayment penalty or foreclosure charges, subject to any non-refundable processing fees disclosed upfront.

12. Recovery and Collection Practices

Recovery and collection activities shall be undertaken only by the concerned Regulated Entity and its authorised recovery agents, strictly in accordance with applicable RBI guidelines on recovery agents, fair practices code, and digital lending norms. Bridge Capital does not itself undertake recovery activities and does not authorise any person to use coercive, abusive, or unlawful means for collections.

13. Disclaimer of Warranties

The Platform and all services are provided on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to warranties of accuracy, reliability, fitness for a particular purpose, or uninterrupted availability.

14. Limitation of Liability

To the fullest extent permitted by law, Bridge Capital shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use of the Platform or services. In no event shall the total liability of Bridge Capital exceed the amount of fees earned by it in relation to the specific transaction giving rise to the claim, or INR 10,000, whichever is lower.

15. Indemnity

You agree to indemnify and hold harmless Bridge Capital, its affiliates, directors, employees, and representatives from and against any claims, losses, liabilities, or expenses arising out of your misuse of the Platform, breach of these Terms, or violation of applicable laws.

16. Grievance Redressal Mechanism

Bridge Capital has designated a Grievance Redressal Officer ("GRO") whose name, designation, email address, and contact details shall be displayed prominently on the Platform and in the Privacy Policy. You may raise queries, concerns, or grievances by writing to the GRO. We shall acknowledge your grievance within 48 hours and endeavour to resolve it within 30 days, in line with applicable RBI guidelines. Grievances relating to any loan or financial product may also be escalated to the concerned Regulated Entity using the contact details in the KFS or sanction letter. If unsatisfied, you may further escalate under the Reserve Bank Integrated Ombudsman Scheme or through the RBI Complaint Management System (CMS) portal.

17. Suspension and Termination

Bridge Capital reserves the right to suspend, restrict, or terminate your access to the Platform at its discretion, including in cases of suspected fraud, misuse, or regulatory requirements, without prior notice where necessary.

18. Intellectual Property Rights

All content, technology, trademarks, and materials on the Platform are the exclusive property of Bridge Capital or its licensors. No rights are granted to users except for limited use of the Platform in accordance with these Terms.

19. Force Majeure

Bridge Capital shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including natural disasters, system failures, regulatory actions, or network disruptions.

20. Modification of Terms

Bridge Capital reserves the right to modify these Terms at any time. Updated Terms shall be made available on the Platform, and continued use shall constitute acceptance of such modifications.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Courts at New Delhi shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.

22. Miscellaneous

These Terms constitute the entire agreement between you and Bridge Capital in relation to the use of the Platform and supersede all prior understandings. If any provision is held invalid, the remaining provisions shall continue in full force and effect.

User Acceptance of Terms

By accessing or using the Platform, any individual or entity shall be deemed to have become a user of Zavo ("User") and agrees to be bound by, and comply with, these Terms and Conditions, as amended from time to time. Continued use of the Platform constitutes ongoing acceptance of these Terms.
